20.1 Mandatory Binding Arbitration; FAA; AAA Rules; Florida Seat
Arbitration shall be governed by the Federal Arbitration Act, reflecting a transaction involving interstate commerce, and administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules (or other AAA rules the AAA determines apply). The arbitration shall be conducted before one (1) neutral arbitrator. The seat and venue of arbitration shall be the State of Florida, unless the parties agree otherwise in writing. The arbitrator shall have exclusive authority to
resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.
20.2 Small Claims Carve-Out (Limited)
Either party may bring an individual Dispute in small claims court only if the Dispute qualifies for small claims jurisdiction and remains an individual action. No consolidation is permitted.
20.3 Waiver of Jury Trial
YOU AND VERIFYHOMEPROS.COM KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL in any action or proceeding arising out of or relating to any Dispute.
20.4 Class Action Waiver (NO EXCEPTIONS)
All Disputes must be brought solely on an individual basis. You agree you may not bring any Dispute as a plaintiff or class member in any class, collective, representative, or private attorney general action. The arbitrator may not consolidate claims or preside over any form of representative proceeding, and may award relief only in favor of the individual party seeking relief. If this class action waiver is found unenforceable, then the arbitration provision shall be null and void as to that Dispute only. The waiver applies to the fullest extent permitted by law.
20.5 Confidentiality
All arbitration proceedings, filings, testimony, evidence, decisions, and awards shall be strictly confidential, except as required by law or to enforce an arbitration award.
20.6 Fees and Costs
AAA administrative fees and arbitrator fees shall be allocated pursuant to AAA rules. Each party shall bear its own attorneys’ fees and costs unless a statute or the arbitrator requires otherwise.
20.7 Time Limitation on Claims
Any Dispute must be filed within one (1) year after the Dispute arises, to the fullest extent permitted by applicable law, or it is permanently barred.
20.8 Limitation of Damages
To the maximum extent permitted by law, VerifyHomePros.com shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, loss of data, loss of goodwill, or emotional distress, even if advised of the possibility of such damages.
20.9 Exclusive Remedy; Injunctive Relief
Your sole and exclusive remedy for any Dispute shall be arbitration under this Section 20 or small claims court where permitted. Except where prohibited by law, you agree not to seek injunctive or equitable relief outside of arbitration, except as necessary to enforce an arbitration award.
20.10 Forum Selection Backup
If arbitration is found unenforceable for any reason, you agree any Dispute shall be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenience or forum non conveniens.
20.11 Opt-Out (Tight Window)
You may opt out of this arbitration agreement only by sending a written notice of your decision to opt out within thirty (30) days of the date you first access or use the Website (or within thirty (30) days of any update to this Section 20, whichever is later). You opt-out notice must include: (i) your full name; (ii)
the email address and phone number you used (if any) with the VerifyHomePros.com; (iii) your mailing address; and (iv) a clear statement that you are opting out of arbitration. You must send the notice to: support@verifyhomepros.com. If you opt out, you agree that Section 20.10 (Florida courts) will govern any Dispute. If you do not opt out within the time limit, you agree to be bound by this Section 20.
20.12 Severability; Survival
If any portion of this Section 20 is found unenforceable, the remaining portions shall remain in full force and effect. This Section 20 survives termination of your use of VerifyHomePros.com.
20.13 Electronic Acceptance
You agree that your use of VerifyHomePros.com constitutes electronic acceptance of this arbitration agreement and that such acceptance is legally binding.
